For the delivery terms is CIF, the seller shall be liability to effect the insurances against all risks at 110% of the invoice amount with additional war risk.
14. 付款条件 14. Terms of payment
14.1 信用证支付方式
14.1 Payment by Letter of Credit
买方应在货物装船时间前一个月通过______银行开出以电传/电汇方式开立以卖方为抬头的不可撤销信用证，卖方在货物装船启运后凭本合同交货单据条款第24条A款所列单据在开证银行议付贷款。上述信用证有效期将在装船后15天截止。
The Buyer shall, one month prior to the time of shipment of the goods, establish an irrevocable letter of credit by telex/wire transfer payable to the Seller through ______ bank and the Seller shall negotiate loan at the issuing bank subsequent to shipment of the goods against the documents listed in article 24 A of the delivery documents clause hereof. The above Letter of credit will expire 15 days subsequent to shipment.

货物发运后，卖方出具以买方为付款人的付款跟单汇票，按即期付款交单D/P方式，通过卖方银行及 银行向买方转交单证，换取货物。
货物发运后，卖方出具以买方为付款人的承兑跟单汇票，付款期限为 日后，按即期承兑交单，通过卖方银行，经买方承兑后，向买方转交单证，买方按汇票期限到期支付货款。
The Seller shall, subsequent to shipment of the goods, issues the documentary order for payment in favor of the Buyer and forward by the method of document against payment at sight through the Seller's bank and Bank, the documents to the Buyer in exchange for the goods.
The Seller shall, upon shipment of the goods, issue the acceptance bill with the Buyer as the payer and the payment is due to be effected in days, the bill is delivered on demand, through the Seller's bank, accepted by the Buyer and forwarded to the Buyer which effect payment for the goods as the time due date of the bill.
14.3 汇付 14.3 Payment by remittance
买方在收到卖方依本合同第23条规定提交的海运单据后7个工作日内，以电汇方式支付货款。
The Buyer shall effect payment for the goods by wire transfer within seven working days upon receipt of the shipping documents submitted by the Seller in accordance with the provisions of Article 23 hereof.
15. 商品名称、数量、品质、品牌以及货物详细技术要求
15. Name, quantity, quality, brand and detailed technical requirements of the goods
商品名称、数量、品质、品牌以及货物详细技术要求由买卖双方以书面协议确定，在本合同附件清单中载明。清单随附本合同作为合同附件。
The name, quantity, quality, brand and detailed technical requirements of the goods shall be determined by written agreement between the Seller and the Buyer and shall be set out in a list annexed to this contract. The list is attached to this contract as an annex hereto.
16. 货物保质期 16. Shelf-life life of the goods
.货物保质期为 年。 . The shelf life of the goods is years.
17. 货物保修期 17. Warranty period for the goods
货物保修期： 年，终身维护。如保修期内此批产品出现任何产品本身故障，使用不当或不可抗力因素除外，卖方接到通知7天内派人员到现场解决，任何相关费用包括维修、零配件及交通差旅费均有卖方负责承担。如果卖方未能遵守前述售后服务承诺，造成买方损失或影响买方工作，除赔偿买方损失外，还应该承担合同金额的10%违约金。对因产品质量原因造成的人身、财产损害，卖方应当承担全部法律责任和赔偿责任。
17. Warranty period for the goods: years, lifetime maintenance. provided that if any failure of the batch of product itself occurs during the warranty period, except for improper use or force majeure, the Seller will, within seven days of notification, dispatch its personnel to the site to solve the problem, and any related costs including maintenance, spare parts and transportation travel will be accountable on the Seller. Failure by the Seller to comply with the aforementioned commitment of after-sales service, causing damage to the Buyer or affecting the Buyer's work, shall be liable for 10% of the contract amount as liquidated damages, in addition to compensation for the Buyer's losses. The Seller shall bear full legal responsibility and liability for the damage to person and property caused by the quality of the product.
18. 其它条件 18. Other conditions
除非经买方同意和接受，本合同其它一切有关事项均按第二部分交货条款之规定办理，该交货条款为本合同不可分割的组成部分。本合同如有任何附加条款将优先执行，如果附加条款与本合同条款有抵触，则以附加条款为准。
Unless agreed and accepted by the Buyer, all other matters relating to this contract shall be subject to the provisions of Part II Conditions of Delivery, which are an integral part hereof. Any additional terms to this contract will be executed by priority, and in case of any conflict with the terms of this Contract, the additional terms shall prevail.
19 .FOB条件For FOB Terms:
19.1.本合同项下货物的装运舱位由买方或买方的运输代理人___________租订。
19.1. The shipment space of the goods under this contract shall be chartered by the Buyer or the Buyer's forwarding agent ___________.
19.2.卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期装上买方所指定的船舶。
19.2. The Seller shall be responsible for loading the goods ordered onto the vessel specified by the Buyer on any date notified by the Buyer within the loading period specified in Clause 8 hereof.
19.3.货物装运日前10-15天，买方应以电报或电传通知卖方合同号、货物名称、卖方船名、预计装船日期、代理人的名称，以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船舶或者船舶比预先通知的日期提前或推迟到达装运港口，买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。
19.3. The Buyer shall, 10-15 days prior to the date of shipment, notify the Seller by telegram or telex of the contract number, the goods name, the name of the Seller's vessel, the expected date of shipment and the name of the agent so that the Seller may contact the shipping agent and arrange for the shipment of the goods. The Seller shall, by telegram or telex in good time, report the results of the contact to the Buyer which or its shipping agent shall inform the Seller promptly if the Buyer needs to change the vessel for any reason or if the vessel arrives at the port of shipment earlier or later than the date notified in advance. The Seller shall also maintain close contact with the Buyer's shipping agent or the Buyer.
19.4.如买方所订船舶到达装运港后，卖方不能在买方所通知的装船时间内将货物装上船舶或将货物交到吊杆之下，卖方应负担买方的一切费用和损失，如空舱费、滞期费及由此而引起的及/或遭受的买方的一切损失。
Should the Sellers fail to load the goods, within the time as notified by the Buyers, on board the vessel booked by the Buyers upon its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc., and consequences thereof shall be undertaken by the Sellers
19.5.如船舶不能如期抵港装运，而且未及时通知卖方，在装卸港的仓储费及保险费在港口免费堆存期满后第十六天起由买方负担，人力不可抗拒的情况除外，但卖方仍应在装载货船到达装港后立即将货物装船。前述各种有关费用均凭原始单据核实支付。
19.5. Where failure of the vessel’s arrival at the port for shipment as scheduled and to notify the Seller, the storage and insurance charges at the port of loading / unloading shall be borne by the Buyer from the sixteenth day upon the expiry of the free storage period at the port, except in cases of force majeure, however the Seller shall nevertheless load the goods on board upon arrival of the vessel at the port of loading. All the aforementioned costs shall be verified and paid against original documents.

第一条 总则
Article 1 General Principles
本协议书于____年__月__日由下列双方共同签订：
THIS AGREEMENT dated the _____day of _____ is made BETWEEN :

委托人欲从____有限公司（以下称卖方）引进 ___ 技术（以下称A技术）。委托人及总代理人双方同意，由委托人指定的其总代理人系独家全权代表，委托人授权其代表可根据本协议所列的条款和条件，与卖方洽谈欲引进技术的价格及其他有关事项。

The Principal is desirous of acquiring from ___Co., Ltd, (hereinafter called the ``Seller'') the A Technology ( hereinafter called the ``Technology''). The Principal and the General Agent have agreed that the General Agent shall be appointed as the Principal's sole exclusive Agent to negotiate ， on behalf of the Principal, with the Seller the price and other terms and conditions for ， and all other matters connected with, the acquisition of the Technology by the Principal， subject to the terms and upon the conditions hereinafter set forth.
NOW IT IS HEREBY AGREED as follows:
第二条 定义 Article 2 Definitions
2.1.本协议内所用词句的意义，明确阐述如下：
2. 1. In this Agreement, the following words or expressions shall have the meanings given to them respectively below:
“佣金”系按本协议所列的条款和条件，由委托人按照6.1.条款支付给总代理人的佣金。
``Commission'' means the commission payable by the Principal to the General Agent pursuant to Article 6. 1. subject to the terms and conditions of this Agreement.
“许可证协议”系指委托人与卖方所签订的技术转让或许可证协议，包括与技术有关的任何时侯所作的补充、修改和增补的技术，由卖方出售、转让该技术并向委托方予以报价。
``License Agreement'' means the Technology Transfer or License Agreement to be entered into between the Principal and the Seller, together with all addenda, amendments and supplements made thereto from time to time and at any time, setting out the Price and other terms and conditions for the sale and transfer by the Seller of the Technology to, and the acquisition of the same by, the Principal.
“价格”系指委托人为引进读项技术而支付给卖方的款额，包括许可证和特许权使用费及其他费用，由委托方向卖方支付的款额。
``Price'' means the aggregate amount of the purchase price payable by the Principal to the Seller for the acquisition of the Technology, which amount shall also include all license fees and royalties and other payments of whatsoever nature payable to the Seller by the Principal in consideration of or in connection with the transfer of the Technology to the Principal.
2.2. 各条款所列的标题仅为醒目而用，对本协议的解释无影响。
2. 2. Clause headings are inserted for convenience of reference only and shall be ignored in the interpretation of this Agreement.
第三条 总代理
Article 3 General Agency
3.1.委托人指定其总代理人，系为独家全权总代理并代表委托人与卖方洽谈引进该项技术应付的价款及有关许可证协议的条款和条件并代表委托人联系一切有关事项。为此，总代理人愿意接受此委托。
3.1. The Principal hereby appoints the General Agent, and the General Agent hereby accepts appointments, as the Principal's sole exclusive General Agent to negotiate, on behalf of the Principal, with the Seller, the Price and all other terms and conditions of the License Agreement and otherwise to act generally on behalf of the Principal in all respects relating to, and to attend to all matters whatsoever connected with, the acquisition of the Technology by the Principal.
3.2.在协议有效期内，委托人不得指定其他任何人为其代理人洽谈引进该项技术的价格及有关许可证协议的条款和条件或代表委托人联系有关任何事项。
3.2. The Principal shall not, during the period of this Agreement, appoint any other person or persons as Agent of the Principal to negotiate the Price or the terms and conditions of the License Agreement or otherwise to act in any respect on behalf of the Principal relating to, or to attend to any matter whatsoever connected with, the acquisition of the Technology by the Principal.
3.3.根据协议总代理人作为委托的独家全权代理，代表委托人洽谈本许可证协议为引进该项目，为此，一旦成交，予以承认并生效。委托人与卖方洽谈该项技术的价格及其他条款和条件，经谈妥及各方当事人正式签署许可证协议及总代理取得佣金，其总代理终止。
3.3. The appointment of the General Agent thereunder as the sole exclusive Agent of the Principal for the negotiation of the License Agreement and the acquisition by the Principal of the Technology shall be deemed 9 for all purposes, to have become effective as from the date of this Agreement, and shall remain effective until the date when the Price and all other terms and conditions for the acquisition of the Technology by the Principal from the Seller have been agreed and satisfactorily concluded, and the License Agreement executed and delivered by all relevant Parties thereto, and the Commission paid to and received by the General Agent.
3.4.委托人指定总代理人系为独家全权代理，代表委托人洽谈许可证协议及引进该技术之事宜，本协议的委托人与总代理人不因此构成合股关系，亦不因此获得本协议指定范围外的代理权。
3.4. The appointment by the Principal of the General Agent as the Principal's sole exclusive Agent for the negotiation of the License Agreement and the acquisition by the Principal of the Technology shall in no way constitute, or be deemed to constitute, a partnership between the Parties hereto or an General Agency other than for the purposes stated herein .
第四条 总代理人的职责
Article 4 Duties of the General Agent
4.1.在本协议期内总代理人：
4. 1. During the continuance of this Agreement the General Agent shall,
（1）必须努力与卖方洽谈，向卖方取得最好的价格及最优惠的条款和条件，便于委托人获得该项技术的转让并签订许可证协议。
(1) use its endeavors to negotiate for an obtainment from the Seller the best available Price and the most favorable terms and conditions for the transfer to and acquisition by the Principal of the Technology, and to conclude the terms and conditions of the License Agreement as soon as practicable ;
（2）在洽谈转让及引进该项技术的过程中，总代理人与卖方洽谈中若出现任何争议、分歧或僵局，应立刻向委托人提供有关争议、分歧或僵局之详情并就此事与委托人磋商。
(2) in the event of any disagreement, difference or deadlock arising between the General Agent and the Seller in the course of negotiation for the transfer and acquisition of the Technology, promptly supply to the Principal details of such disagreement, difference or deadlock, and consult with the Principal regarding the same ;
（3）应采取确实有效的办法为委托人取得该项技术并签订许可证协议。
(3) generally do all such acts as may be in the best interests of the Principal and conductive to the conclusion of the License Agreement and the acquisition by the Principal of the Technology.
4.2.在本协议有效期内，未经委托人书面同意，总代理人不得：
4.2. During the continuance of this Agreement, the General Agent shall not without the express prior written consent of the Principal :
（l）除委托人指定的全权代理有关事项外，不得自命为委托人代理任何事项；或
(1) describe itself or hold itself out as General Agent for the Principal except in respect of or in connection with the purpose and matters for which the Agent is appointed the sole exclusive Agent of the Principal thereunder; or
（2）以委托人的名义允诺或解决任何事宜，或以委托人的信用作担保，或代表委托人作出任何保证或陈述，或使委托人承担任何责任成义务；或
(2) make any admission or settle any claim by or against the Principal, or pledge the credit of the Principal, or give any warranty or make any representation on behalf of the Principal,or commit the Principal to any obligation or liability of any kind; Or
（3）与卖方议定转让和获得该项技术的价格及有关条款和条件；或
(3) agree with the Seller the Price and any of the terms and conditions for the transfer and acquisition of the Technology; or
（4）不论以何种方式从委托人处所抉得的信息资料，皆属秘密，仅能为引进技术用，不得泄露。
(4) use for its own purpose or pulge or communicate to any person any confidential or other information which the Agent may however obtain in relation to the business or other affairs of the Principal.
第五条 委托人的职责
Article 5 Duties of the Principal
5.1.代理人当代其委托人与卖方商定价格、条款和条件时，或将转让技术的价格条款和条件书就许可证协议时，或就有关问题提出要求时，委托人须立即向总代理给予指示.
5.1. The Principal shall, if and whenever requested by the General Agent, promptly give instructions to the General Agent regarding the Price and other terms and conditions to be agreed between the General Agent, on behalf of the Principal, with the Seller, or to be included in the License Agreement, or otherwise regarding any other matter concerning the transfer of the Technology to the Principal.
5.2.委托人应及时满足代理人的要求，向总代理人提供有关业务所需的信息，便于总代理人与卖方洽商转让和获得该项技术。
5.2. The Principal shall furnish the General Agent with all information concerning the business and other affairs of the Principal, which may reasonably be required by the General Agent from time to time, for the purpose of negotiating and concluding with the Seller the terms and conditions for the transfer and acquisition of the Technology.
第六条 佣金 Article 6 Commission
6.1.委托人同意支付给总代理人价格总金额的百分之 ___％的佣金。佣金于许可证签署之日以美元支付。
6.1. The Principal hereby agrees to pay to the General Agent a commission equal to ____percent (% ) of the Price, which commission is to be paid to the General Agent in United States Dollars on the date of execution of the License Agreement.
6.2.协议双方同意卖方与委托方签汀转让技术价格条款及条件时，委托方的义务应根据6.1.条规定支付佣金，届时不得以任何借口延迟，应即时支付。
6.2 The Parties hereto hereby agree that, not withstanding anything to the contract herein contained, the obligation on the Part of the Principal to pay the Commission in receive the Commission in accordance with this Article 6.1 shall accrue, as soon as the License Agreement is executed by the relevant Parties thereto, or as soon as the Price and all other terms and conditions for the transfer of the Technology by the Seller to the Principal have been agreed between the Seller and the Principal.
第七条 终止协议
Article 7 Termination
7.1.若遇有下列任何事件或情况时，委托时须以书面方式通知总代理人：按协议规定总代理人不履行或不遵守其职责或义务时，或当收到委托人就总代理人不履行或不遵守其职责的通知后的三十天（30）天内，仍置之不理，立刻终止本协议对总代理人的委托。
7.1. The Principal shall be entitled to terminate forthwith the appointment of the General Agent under this Agreement, by giving notice in writing to the General Agent, if any of the following events or circumstances occurs; The General Agent fails to perform or observe any of its duties or obligations under this Agreement and such non-Performance or non-fulfillment is not rectified within a period of thirty ( 30) days after receipt by the General Agent of the Notice from the Principal, notifying the Genera Agent of such non-performance or non-fulfillment.
7.2.按照本协议规定期满或终止对总代理人的委托，不论出于何种原因，均不妨碍协议各方的权利和义务。
7.2. The expiration or termination of the General Agent's appointment under this Agreement for whatever reason shall be without prejudice to any Pre-existing rights and obligations of either Party thereunder.
7.3.当届满和终止对总代理人的委托时，按下述条款办理：
7. 3. Upon expiration or termination of the Agent's appointment thereunder for whatever Cause:
（1）总代理人应立即将持有与委托人业务有关的票据、备忘录、记录稿件或其他文件交还给委托人。
(1) the General Agent shall immediately return to the Principal all notes, memoranda, records or other documents held in the Possession of the General Agent relating to the business of the Principal.
（2）按照本协议规定，于终止对总代理人委托的五（5）天内，委托人将佣金（按第6.1.条规定应支付尚未付清部分的佣金）支付给代理人。
(2) the Principal shall pay the Commission to the General Agent (if Commission has already accrued but not yet paid in accordance with and under the Provisions of Article 6. 1. ) within five (5) days after the termination of the General Agent's appointment under this Agreement. .
7.4. 按本协议规定不论出于何种原因届满或终止对总代理人的委托，本协议仍然予以履行或遵守其条款，对各方均有约束力并付之实施。
7.4. Notwithstanding the expiration or termination of the General Agent's appointment under this Agreement for whatever cause, any term or Provision of this Agreement which is capable of being Performed or observed after the date of such expiration or termination of the General Agent's appointment under this Agreement shall survive the and shall continue to be binding on the Parties hereto and remain in full force and effect.
第八条 分代理或转让
Article 8 Sub-agency or Assignment
8.1.非经委托人预先书面同意，总代理人不得将协议之任何义务或责任转让或转移给非经指定的分代理。不论经委托人如何同意的由总代理人委托的分代理，根据协议的规定不得免除总代理人的任何义务和职责。
8.1. The General Agent shall not, without the express prior written consent of the Principal, assign or transfer any of its obligation or duties thereunder and shall not appoint agents. However, if the Principal approves the appointment of sub-agents by the General Agent t any such appointment of a sub-agent shall not relieve the General Agent of any of its obligations and duties thereunder.
8.2.非经总代理人预先书面同意，委托人不得将本协议规定的任何权利、义务或责任予以转让或转移给他人。
8.2. The Principal shall not assign or transfer any of its rights, obligations or liabilities thereunder without the express prior written consent of the General Agent.
8.3.本协议对委托人、总代理人及各方指定的继承人均具有同等的约束力并确保实施。
8.3. This Agreement shall be binding upon, and ensure to the benefit of, the Principal and the General Agent, and their respective successors.
第九条 修改 Article 9 Amendments
委托人与总代理人签订的引进技术协议书，包括整个协议书和备忘录，并将取代委托人与总代理人对该项引进技术以往的全部协议和安排，且后者自本协议签署之日起，即告终止。除非经本协议当事人签署的书面通知，否则本协议书不得作出任何修改和变更。
This Agreement contains the entire agreement and understanding between the Principal and the General Agent relating to the acquisition of the Technology by the Principal, and supersedes all Previous agreements or arrangements between the Principal and the General Agent relating to the acquisition of the Technology by the Principal which shall henceforth cease and terminate with effect from the date hereof. This Agreement may not be amended or modified except by written instrument signed by each of the Parties hereto.
第十条 适用的法律
Article 10 Governing Law
本协议的一切条款，是根据签字时现行的有关法律、法令和条例制订的。然而，在协议生效之后，由于颁布了新的法律、法令和条例进行了修改，致使委托人和总代理人中任何一方的经济利益发生重大的变化，应及时协商，并对本协议的有关条款作必要的修正和调整，以维护委托人和总代理人在协议中的正常的经济权益。
It is understood that all the Provisions hereof are in accordance with relevant laws, decrees and regulations of ______ existing at the time of the signing. However, if a material change occurs to either Principal or General Agent's economic benefits after the effective date hereof due to the Promulgation of new laws, rules and regulations or any amendment to the applicable laws, rules and regulation made by the ______, the Principal and General Agent shall consult Promptly and make necessary amendments or adjustments to the articles concerned herein in order to maintain the Parties' normal economic benefits thereunder.
第十一条 争议的解决
Article 11 Dispute Resolution
11.1.在执行本协议所发生的或与本协议有关的一切争执，首先应由委托人和总代理人友好协商解决。
11.1. All disputes arising from the implementation of or related hereto preferably shall be settled through friendly consultation between the Principal and General Agent.
11.2.若协商不能解决，可先调解，如调解无效，最终将在根据国际仲裁程序进行仲裁。
11.2. If consultation fails to settle the disputes, mediation may be held at _____. All disputes shall be finally settled by arbitration at ____in accordance with its rules of International Arbitration.
11.3.在争执发生时及争执提交仲裁过程中，除所争执并提交仲裁的问题外，委托人和总代理人都必须按本协议的规定继续行使自己的权利，履行各自的义务。
11.3. When any dispute occurs and when such dispute is under arbitration, except for the part under dispute that is subject to arbitration, the Principal and General Agent must continue to exercise their respective rights and perform their respective obligations in accordance with the provisions hereof.
11.4.仲裁的裁决是终局的，对委托人和总代理人都有约束力。仲裁费（不包括聘请律师的费用）由败诉方负担或由仲裁机构裁决。
11.4 The arbitration award shall be final and binding on the principal and General Agent. The cost of arbitration ( excluding the fees for the respective appointment of lawyers by either of the Parties) shall be borne by the losing Party or in accordance with the ruling of the arbitrator (s ) .
第十二条 语言
Article 12 Languages
本协议以英文和中文书就，两种文字均为正式文本。
This Agreement shall be executed in English and Chinese texts. Both versions shall be official texts.
第十三条 通知 Article 13 Notice
13.1.凡有关本协议的通知、请求或其他通讯往来，须以文字为准，可采用书信传真、电报方式传递。
13.1. Every notice, request, or other communication under this Agreement shall be in writing, but may be given or made by letter, telex, telegram.
13.2.凡有关通知、请求或其他通讯往来，可用书信、传真、电报方式按对方所列地址寄至对方。
13.2. Every notice, request, or other communication shall be sent, in the case of a letter, telegram, to the other Party at its address herein before stated, or such other address as the Party may have Previously notified the other.
本协议的双方于首页所列日期签署，立此为据。
